By accessing or using the Platform, including any associated software, tools, features, and documentation (collectively, the "Service"), you ("you," "your," or "User") agree to be bound by these Terms of Service ("Terms").
These Terms constitute a legally binding agreement between you and 9aiweb. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms, in which case "you" shall refer to such entity. If you do not have such authority, or if you do not agree with these Terms, you must not accept this agreement and may not use the Service.
By registering for an account, using the Service, or clicking "I Agree," you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other policies referenced herein.
3.1. Eligibility: You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this eligibility requirement.

You are solely responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. 3.3. Multi-Site Management: Your primary Account allows for the management of multiple websites or vCards, subject to the limitations of your subscription plan. You are responsible for the activities of all users or administrators you authorize on any sub-account.
4.1. Platform Capabilities: The Service provides you with tools to build, manage, and host a website, including but not limited to: AI content generation, vCard creation, QR code generation, e-commerce functionality, booking systems, multilingual support, and integrated marketing tools. A detailed description of capabilities is provided in the "Complete Tenant Capability Guide," which is incorporated by reference into these Terms.
4.2. Subscription Plans:
a. Trial: We may offer a free trial or a 7-day money-back guarantee for new Users. Upon the expiration of the trial period, your Account will automatically convert to a paid subscription unless you cancel before the trial ends.
b. Paid Subscription: The Service is offered on a subscription basis for a fixed term (e.g., ₹1,999/year). Your subscription will automatically renew for successive periods of the same duration at the then-current subscription rate unless you cancel your subscription through your Account dashboard prior to the renewal date.
c. Fees & Payment: All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities. You are responsible for all applicable taxes, including but not limited to Goods and Services Tax (GST). Payments are non-refundable, except as expressly provided in these Terms or as required by applicable law.
4.3. Service Credits: Certain features, such as premium AI models (OpenAI/Gemini), are governed by a monthly credit system. Unused credits do not roll over to the next billing cycle. The Company reserves the right to modify the credit system and associated features with prior notice.
5.1. Subdomain: Upon account creation, you will be provided with a subdomain in the form yourbrand.9aiweb.in. 9aiweb is the owner of the 9aiweb.in domain. Your use of the subdomain is contingent upon your compliance with these Terms and ceases upon the termination of your Account.
5.2. Custom Domains: You may connect a domain name you own to your website. You are solely responsible for the registration, renewal, and management of your custom domain name. You represent and warrant that your use of a custom domain does not infringe upon the rights of any third party. 9aiweb will assist in provisioning an SSL certificate for your custom domain, but we do not guarantee the security of the underlying domain registration.
5.3. Domain Name Disputes: 9aiweb reserves the right to suspend or cancel a subdomain or custom domain connection if it, in its sole discretion, determines that the domain name is being used in a manner that violates these Terms or applicable law.
6.1. Ownership of Your Content: You retain all ownership rights to the Content you upload, generate, or publish on Your Website. 9aiweb does not claim ownership over your Content.
6.2. License to 9aiweb: By using the Service, you grant 9aiweb a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, and distribute your Content solely as necessary for us to provide and maintain the Service to you. This license terminates upon the deletion of your Content or the termination of your Account.
6.3. AI-Generated Content: You acknowledge that AI models are complex and their outputs may not be unique or may contain inaccuracies. You are solely responsible for reviewing, editing, and ensuring the accuracy, legality, and appropriateness of all AI-generated Content before publishing it. 9aiweb does not warrant the originality, accuracy, or completeness of AI-generated Content.
6.4. Acceptable Use: You agree not to use the Service to:
a. Create, host, or transmit any Content that is illegal, defamatory, obscene, pornographic, harassing, or promotes violence, discrimination, or hatred.
b. Infringe upon the Intellectual Property Rights of any third party.
c. Distribute malware, viruses, or other harmful code.
d. Engage in any activity that is fraudulent, deceptive, or designed to manipulate search engine rankings in bad faith.
e. Engage in phishing, spamming, or any other form of unsolicited communication.
f. Violate any applicable Indian laws, rules, or regulations, including but not limited to the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023.
6.5. Prohibited Business Categories: Without limiting the above, you may not use the Service for any business or activity that is illegal, including but not limited to: illegal gambling or casinos, sale of controlled substances or prescription drugs without a license, human trafficking or exploitation, and multi-level marketing schemes deemed illegal by Indian authorities.
6.6. Enforcement: We reserve the right, but have no obligation, to monitor, investigate, and remove any Content or suspend your Account if we believe you have violated this Acceptable Use Policy.
7.1. 9aiweb Property: The Service, including its software, code, algorithms, user interface, design, themes, templates, and all other non-User Content, is the exclusive property of 9aiweb and its licensors. You are granted a non-transferable, non-sublicensable, revocable license to use the Service in accordance with these Terms. This license terminates upon termination of your Account.
7.2. Feedback: If you provide any feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate that Feedback into the Service without any obligation to you.
8.1. Your Customers' Payments: The Service integrates with third-party payment gateways (e.g., Razorpay, Paytm, Instamojo, PhonePe) to allow you to collect payments from your customers. Your relationship with these payment gateways is governed by their separate terms of service.
8.2. No Liability for Gateway Failures: 9aiweb is not a party to any transaction between you and your customers. We do not handle, process, or store any payment card or financial account information on your behalf. We shall not be liable for any issues, disputes, or losses arising from the use of third-party payment gateways, including transaction failures, chargebacks, or refunds.
8.3. GST & Invoicing: You are solely responsible for complying with all applicable tax laws, including the collection and remittance of GST on sales made through Your Website. The invoice generation feature within the Service is a tool provided for your convenience, and you are responsible for ensuring its accuracy and legal compliance.
The Service may contain links to or integrations with third-party services (e.g., Google Analytics, Facebook Pixel, Tawk.to). 9aiweb does not control, endorse, or assume any responsibility for such third-party services. Your use of any third-party service is governed by their respective terms of service and privacy policies.
10.1. Termination by You: You may cancel your Account at any time from your dashboard. Upon cancellation, your Content and Your Website will be deactivated and may be permanently deleted after a grace period as specified in our data retention policy. No refunds will be provided for any unused portion of a pre-paid subscription.
10.2. Termination by Us: We may suspend or terminate your Account and your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, a breach of these Terms, non-payment of fees, or violation of our Acceptable Use Policy.
10.3. Effect of Termination: Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

WE DO NOT WARRANT THAT:
a) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION.
b) ANY ERRORS OR DEFECTS WILL BE CORRECTED.
c) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.
d) AI-GENERATED CONTENT WILL BE ACCURATE, ORIGINAL, OR FREE FROM INTELLECTUAL PROPERTY CLAIMS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 9AIWEB, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to defend, indemnify, and hold harmless 9aiweb and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:
a) Your use of and access to the Service.
b) Your violation of any term of these Terms.
c) Your violation of any third-party right, including without limitation any copyright, property, or privacy right.
d) Any claim that your Content caused damage to a third party.
14.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
14.2. Dispute Resolution: Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good faith negotiations. If the dispute cannot be resolved within 30 days, it shall be referred to binding arbitration in Ahmedabad, Gujarat, India, in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a single arbitrator appointed by mutual consent. The language of the arbitration shall be English. The decision of the arbitrator shall be final and binding on both parties.
14.3. Jurisdiction: For any matters not subject to arbitration, the courts of Ahmedabad, Gujarat, India shall have exclusive jurisdiction.
15.1. Changes to Service: 9aiweb reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.
15.2. Changes to Terms: We may revise these Terms from time to time. We will provide you with notice of any material changes by posting the new Terms on the Platform or by sending an email to the address associated with your Account. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
16.1. Entire Agreement: These Terms constitute the entire agreement between you and 9aiweb regarding the use of the Service, superseding any prior agreements between you and 9aiweb.
16.2. Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
16.3. Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
16.4. Force Majeure: Neither party shall be liable for any failure or delay in performance under these Terms (other than for payment obligations) to the extent such failures or delays are caused by causes beyond the party's reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
